Terms of Membership
Last updated November 2, 2026
1. Who we are and this agreement
CPTL Terminal is offered by CPTL Technologies LLC ("CPTL", "we", "us"). These Terms of Membership and the Risk Disclosure (together, the "Terms") are a binding agreement between you and CPTL for the CPTL Terminal membership, the CPTL Terminal software, the futures algorithms, the long-term equity portfolios (CPTL Blue Chip and CPTL Growth), the members' sites and any related services (together, the "Service"). You must be at least 18 years old and able to enter a binding contract. If you use the Service for a company, you agree for that company too.
2. What membership includes
An active membership gives you, for your own use: the CPTL Terminal software for your own computer; the CPTL futures algorithms and stacks; the long-term equity portfolios and their updates; and the members' sites. We may improve, change, add or retire algorithms, portfolios and features at any time. Live market data comes from the brokerage or prop-firm account you connect, under that firm's terms. Brokerage and prop-firm accounts and any third-party fees are not included and are your responsibility.
3. Not investment advice
CPTL provides software and general information that is the same for every member. CPTL is not a registered investment adviser, broker-dealer, commodity trading advisor, commodity pool operator or futures commission merchant, and nothing in the Service is personal investment, financial, legal or tax advice or a recommendation that any trade or portfolio is suitable for you. You alone decide whether to use the Service, which algorithms and portfolios to follow, in which accounts, at what size, and whether to approve any order. Consider your own situation, and consult a licensed professional if you need advice.
4. The software runs on your computer: your responsibilities
The CPTL Terminal runs on your own computer and sends orders to your own brokerage or prop-firm accounts, using your own credentials. We do not hold your money, have access to your accounts or monitor your computer. You are responsible for:
- keeping the computer the Terminal runs on powered on, awake (not sleeping), logged in, online and connected to your broker and market data for as long as an algorithm is running, including power, internet, operating-system updates, restarts, battery and lid settings;
- installing, updating and running the Terminal correctly, and keeping your computer, passwords and credentials secure;
- choosing algorithms, sizes and modes; setting up your broker and prop-firm accounts as the Terminal's setup notes describe (for example, enabling the broker's protective-order features); and checking your positions and orders at your broker;
- following your broker's and prop firm's rules, including rules on automated trading, devices, and maximum position size;
- your market-data subscriptions and their licences.
Things outside our control can and do go wrong in automated trading, including: the computer shutting down, sleeping, crashing or losing internet or power; missing, late, wrong or incomplete price bars ("candles") from a broker or data provider; broker, exchange or API outages and maintenance; rejected, delayed, duplicated or partially filled orders; slippage and gaps; disconnections mid-trade; contract rolls; and software bugs. These can cause missed trades, late or unexpected trades, positions left open, or results that differ from the backtests. CPTL is not responsible for losses, missed profits or prop-firm account violations caused by any of these, and none of them is grounds for a refund.
4a. Automatic trading you set up
When you press Start on an account, you instruct the CPTL Terminal on your computer to place orders in that account by itself, using the algorithm, contract size and mode (for futures) or the portfolio, version and share of the account (for stocks) that you chose, until you press Stop. For stock accounts this includes rebalancing automatically, during regular market hours, whenever CPTL's portfolio changes. You can stop, change or remove this at any time. You are responsible for these settings and for every order placed while an account is running. The Terminal only trades the shares it bought for a portfolio and never sells holdings you already owned, but it can't protect you from settings you choose, such as a larger share of an account than you intended.
5. Third-party services
The Service connects to services we don't control, including brokers, prop firms, market-data providers, SnapTrade and others. Your use of them is governed by their own terms, and CPTL is not responsible for their availability, data, fills, fees, errors or decisions (including a prop firm's decision to fail, close or not pay out an account).
6. Price, billing and renewal
- The membership is $7,800 per year, billed in advance, and renews automatically each year at your price unless you cancel before the renewal date. You can cancel at any time; cancelling stops the next renewal and your access continues until the end of the year you've paid for.
- Founding price lock. Members who join at the current price keep that price for as long as their membership stays active without a lapse. Prices for new members may go up; if your membership lapses or is cancelled, rejoining is at the price in effect then.
- Taxes, if any, are added where required. If a payment fails, access may be paused until it is paid.
7. Refunds
Membership fees are non-refundable, in whole or in part, including for unused time, for not using the Service, for trading or investment losses, for results that differ from backtests or from other members' results, for prop-firm account outcomes, and for any of the technical issues in section 4. The only exceptions are (a) the CPTL Blue Chip two-year promise in section 8, and (b) where a refund is required by law. If you file a chargeback for a valid charge instead of contacting us, we may end your membership.
8. The CPTL Blue Chip two-year promise
If CPTL Blue Chip's published return, for the version you follow, is negative over the two years from the date your membership starts, we will refund the membership fees you paid for those two years. To qualify, all of these must be true:
- your membership was active and paid for the whole two years, without a lapse;
- CPTL Blue Chip (Steady, Balanced or Aggressive) was running (started with Start and not stopped) for the whole two years in a brokerage account connected to the CPTL Terminal, on a computer kept on during market hours; switching versions, portfolios or the share of the account restarts the two years;
- you request the refund in writing within 60 days after your two-year date.
The return is measured on CPTL Blue Chip's published return for your version, from your start date to your two-year date, not on your own account. The promise refunds membership fees only. It does not cover investment or trading losses, it is not a promise that CPTL Blue Chip or any account will make money, and it does not apply to CPTL Growth or the futures algorithms. Each two-year period can qualify once, and refunded fees end the membership for that period.
9. Your licence, and what you may not do
While your membership is active, we give you a personal, non-exclusive, non-transferable licence to use the Service for your own accounts. The algorithms, portfolios, targets, software and content are CPTL's confidential property. You may not: share your membership, member key or access; copy, resell, publish, broadcast or redistribute the Service, its signals, trades, targets or holdings; reverse engineer, decompile, extract or try to reconstruct the algorithms or portfolio rules; use the Service to build a competing product; or use it unlawfully. If you break this section we may end your membership immediately without a refund, and seek any other remedy available.
10. Performance information
Results shown on our sites and in the Terminal are hypothetical (backtested) unless clearly labelled otherwise, and are subject to the limitations described in the Risk Disclosure. Past performance, actual or hypothetical, is not indicative of future results.
11. No warranties
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted or error-free operation, or that any algorithm or portfolio will perform as it did in the past or make money.
12. Limitation of liability
To the fullest extent permitted by law, CPTL and its owners, employees and contractors will not be liable for any trading or investment losses, lost profits, prop-firm account losses or fees, or any indirect, incidental, special, consequential, exemplary or punitive damages, arising from or related to the Service, even if advised of the possibility. CPTL's total liability for all claims related to the Service is limited to the membership fees you paid to CPTL in the 12 months before the claim arose.
13. Indemnity
You agree to defend and indemnify CPTL against claims, losses and costs (including reasonable legal fees) arising from your use of the Service, your trading, your accounts, or your breach of these Terms or of any law or third party's rules.
14. Disputes: arbitration and class-action waiver
Please contact us first; most issues can be solved quickly. Any dispute that isn't resolved within 30 days will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either side may bring an individual claim in small-claims court. You and CPTL each waive the right to a jury trial and to bring or join any class, collective or representative action. You may opt out of this section within 30 days of first agreeing to these Terms by emailing us with your name and the words "arbitration opt-out".
15. Ending membership
You can cancel at any time (see section 6). We may suspend or end a membership that breaks these Terms, or end the Service with notice; if we end the Service for reasons other than your breach, we will refund the unused part of your current year.
16. Governing law, changes and contact
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules, and by the Federal Arbitration Act. We may update these Terms; the date at the top shows the latest version, and material changes will be emailed to members and apply from your next renewal. If any part is found unenforceable, the rest still applies. Questions: support@cptlterminal.com.
